MUTUAL NON-DISCLOSURE AGREEMENT

The parties wish to explore a potential business relationship (the "Purpose") and, in connection therewith, may disclose to each other certain confidential and proprietary information. This Agreement governs the treatment of such information.
"Confidential Information" means any information disclosed by one party to the other, either directly or indirectly, in writing, orally, or by inspection of tangible objects, that is designated as "Confidential," "Proprietary," or the like — or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.
Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose such information to third parties without prior written consent; (c) use such information solely for the Purpose; and (d) protect such information with at least the same degree of care used to protect its own confidential information, but no less than reasonable care.
This Agreement shall remain in effect for a period of [2] years from the date of execution, unless earlier terminated by written agreement of both parties.
This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws provisions.
